Provaris early-access terms
Last updated: October 29, 2026
These terms apply to a firm ("Customer", "you") that signs an order form with Gorsar Technologies, a DBA of Gorsar Enterprises LLC, Indiana, United States ("Gorsar", "we"), or that uses a Provaris account we set up for it after we sent it these terms. The order form (if any) and these terms are the agreement. Provaris is in early access, and these terms reflect that.
1. The service
Provaris is a web application for professional services firms to plan work, track time and expenses, invoice, and manage client work. We provide it to you for your internal business use. During early access, features change and some are incomplete or may be removed.
2. Your account and your people
- You choose who at your firm may use Provaris and what role each has. You are responsible for what they do with it.
- Each person signs in with their own login and does not share it.
- Keep sign-in details secret and tell us promptly if you think one has been misused.
- Use Provaris only for lawful business purposes. Do not try to access another firm's data, probe or test the service's security without our written permission, or interfere with the service.
- Provaris is offered to businesses in the United States and Canada (outside Quebec).
3. Your data
- Yours. Information you and your people put into Provaris ("Customer Data") belongs to you. We take no ownership of it.
- Our use. We use it only to provide Provaris to you, keep it running and secure, support you, and meet legal duties. We do not sell it and do not use it to advertise.
- Our helpers. We use outside companies to run Provaris. They are listed in our privacy notice. We are responsible to you for how they handle Customer Data under this agreement.
- Personal information inside Customer Data. You are responsible for having the right to put it into Provaris. We handle it on your instructions as set out in this agreement and our privacy notice.
- Copy of your data. On request we will give you a copy of your Customer Data in a common file format within 30 days of a written request, or a later date we agree with you.
- When it ends. When the agreement ends, or earlier if you ask, we delete Customer Data from our live systems within 30 days of a written request, or a later date we agree with you, except where the law requires us to keep a record. Our database provider keeps backups for its own period, and deleted data leaves the backups when they expire.
4. AI features
Provaris has AI features. When a user uses one, the text the feature works on is sent to an AI provider named in our privacy notice. You cannot yet switch AI features off for your firm; if you do not want your firm's text processed by an AI provider, write to info@gorsar.io before you start and do not use those features. Do not enter information you are not allowed to share with those providers. AI output can be wrong: check it before you rely on it or send it to a client.
5. Security
We take reasonable steps to protect Customer Data. What we can say today:
- each customer firm's data is separated from other firms' by rules in the database. We test this by signing in as a user of one firm and trying to read another firm's information; in October 2026 we ran the staff test against a copy of our live database and the client-portal test against the live system itself;
- if Customer Data held for you is accessed by someone who should not have it, we will tell you without undue delay after we confirm it.
We do not hold a SOC 2 report, an ISO 27001 certificate or any other security certification, and nothing in this agreement says we do. We do not promise that Provaris will be free of errors or security incidents.
6. Availability and support
Provaris is provided on an "as available" basis during early access. We do not promise a level of uptime or a response time. If we later offer a service level, it will be in a separate written document that you sign. Contact info@gorsar.io; we will respond as soon as we reasonably can.
7. Price and payment
Set out in the order form. If payment is taken through Stripe, Stripe's terms apply to the payment. We will give 30 days' notice of a price change during early access, and you may end the agreement before it takes effect.
Refunds. Unless your order form says otherwise, we have no fixed refund window. To ask for a refund of a charge, write to support@provaris.io with the date and amount. We decide each request and reply in writing.
8. Intellectual property
Provaris, its code, design and documentation belong to Gorsar. You get a non-exclusive right to use it as set out here, and no more. You keep your rights in Customer Data. If you give us feedback, we may use it without owing you anything.
9. Confidentiality
Each of us keeps the other's non-public business information confidential, uses it only for this agreement, and discloses it only where the law requires. This does not cover information that is public through no fault of ours, that the other side already had, or that it learned elsewhere without a duty of confidence.
10. Ending
Either of us may end this agreement on 30 days' written notice (email to the contacts on the order form, or to info@gorsar.io for us, is enough). We may suspend or end it sooner if you break these terms and do not fix it within 10 days, or at once for serious misuse or a security threat. Sections 3 (data), 8, 9, 11 and 12 continue after it ends.
11. Disclaimer and limit on liability
Provaris is provided "as is" during early access. To the extent the law allows, we give no warranties beyond those in this agreement. Neither of us is liable to the other for indirect or consequential loss, lost profits or lost data. Our total liability to you under this agreement is limited to the greater of the fees you paid us in the 12 months before the claim and US$100. Nothing in these terms limits liability that the law does not allow to be limited.
12. Governing law
The laws of the State of Indiana, United States, govern this agreement, and its courts have jurisdiction, except where the law of your location requires otherwise. An electronic signature on an order form is intended to be valid.
13. Changes and notices
We may update these terms. For a material change we will email you, and it takes effect at the later of your next renewal and 30 days after the email. Notices go to the contacts on the order form, or to info@gorsar.io for us.
